Faraday Charging Platform Pricing Schedule — Regional Pricing Annex

This Regional Pricing Annex (this “Annex”), together with the General Pricing Terms and any other Regional Pricing Annexes, constitutes the Faraday Charging Platform Pricing Schedule. This Annex is subject to the General Pricing Terms and the Charging Platform Terms (the “Terms”).

Capitalized terms not defined in this Annex have the meanings given in the Terms and/or the General Pricing Terms.

1. APPLICABILITY
This Annex applies to Customers and/or charging operations designated by Faraday as falling within Rwanda.

Faraday may designate certain non-Rwandan jurisdictions as using equivalent rate levels in accordance with the General Pricing Terms; such designation does not classify those jurisdictions as part of Rwanda for legal or regulatory purposes.

2. BILLING CURRENCY
Unless otherwise agreed in writing in an Order Form or Customer-Specific Addendum, fees under this Annex are denominated in USD.

3. PRICING CATEGORIES
For pricing purposes, Faraday may distinguish between:
  • Personal / residential organizations; and
  • Business organizations (including charge point operators, fleet operators, site hosts, hotels, workplaces, and other business entities).
Faraday may further apply fee components based on use of the Faraday Pay App and/or payment rail (including mobile money).

4. PERSONAL ORGANIZATIONS
Personal organizations are not charged Platform fees under this Annex unless otherwise stated in an Order Form, Customer-Specific Addendum, or published pricing update.

Classification and reclassification rules are set out in the General Pricing Terms.

5. BUSINESS ORGANIZATIONS

5.1 Base session fee
For business organizations:
  • USD 0.12 per billable Charging Session (excluding VAT)
This base session fee applies to every billable Charging Session, regardless of how it was initiated (including RFID, dashboard/admin initiation, plug-and-play/no local auth, Plug & Charge/contract certificate, Pay App, mobile money initiation, or other supported methods).

5.2 Guest payments via Pay App
Where a Charging Session is initiated through Faraday's Pay App (including Pay App remote-start flows), the following additional fee applies:
  • 3.5% of the applicable session amount excluding VAT and other applicable indirect taxes + USD 0.15 per Pay App session (excluding VAT)
This fee is charged in addition to the base session fee.

Amount basis. Unless otherwise stated in an applicable Order Form or Customer-Specific Addendum, the 3.5% component is calculated on the portion of the applicable Pay App session amount excluding VAT and other applicable indirect taxes.

Mobile money integration. Where the Pay App facilitates payment via mobile money (e.g., MTN MoMo, Airtel Money, or via eKash/RSwitch interoperable rails), the same Pay App fee structure applies. Faraday may specify different fee components for mobile money versus card payments in an Order Form or Customer-Specific Addendum where underlying payment-rail costs materially differ.

Mixed-use organizations. If an organization has a mix of Pay App sessions and non-Pay App sessions (for example, fleet sessions via RFID and guest sessions via Pay App), this Pay App fee applies only to qualifying Pay App-initiated sessions.

Classification. Faraday will classify Pay App-initiated sessions using Faraday's session records and billing classification (which may include session initiation/authentication/authorization metadata). Faraday may apply reasonable billing rules for edge cases, retries, and data anomalies, consistent with the General Pricing Terms and any applicable customer-specific commercial document.

5.3 Merchant of Record (not applicable)
Faraday does not act as Merchant of Record for End User transactions under this Annex. The Customer (or the Customer's designated payment service provider) is responsible for all End User payment collection, settlement, and compliance with applicable Rwandan payment regulations (including any requirements of the National Bank of Rwanda and the Rwanda Utilities Regulatory Authority).

No card processing or MoR fee components apply under this Annex. If Faraday agrees to provide MoR services for a specific Customer in Rwanda in the future, this will be documented in an Order Form or Customer-Specific Addendum and will require a separate fee schedule.

6. MONTHLY MINIMUM

6.1 Amount and level
For business organizations:
  • USD 2.90 per charger per calendar month
6.2 How it works
For each charger in each calendar month:
  • Calculate the total base session fees for that charger for the month.
  • Compare that amount to the Monthly Minimum (USD 2.90).
  • If the counted fees are less than USD 2.90, Faraday charges the difference as a Minimum Top-Up Fee.
  • If the counted fees are equal to or greater than USD 2.90, no Minimum Top-Up Fee applies for that charger for that month.
6.3 What counts toward the minimum
Unless otherwise agreed in writing, only base session fees count toward the Monthly Minimum.

6.4 What does not count toward the minimum
Unless otherwise agreed in writing, Pay App fees do not count toward the Monthly Minimum.

7. FAILED, ABORTED, AND ZERO-ENERGY SESSIONS
Unless otherwise specified in an Order Form, Customer-Specific Addendum, or applicable billing workflow, Faraday may define billing treatment for failed, aborted, zero-energy, or similar session outcomes using reasonable and consistently applied rules, and may exclude such sessions from billing where identified as non-chargeable under Faraday's billing rules.

8. INVOICING AND DEDUCTIONS
Fees under this Annex may be charged using the billing methods permitted under the General Pricing Terms, including invoicing and/or deductions (where supported by the payment/settlement configuration).

Unless otherwise agreed, fees accrue and are billed monthly in arrears, subject to the General Pricing Terms and any applicable customer-specific commercial document.

9. VAT AND INDIRECT TAXES
All fees and charges payable to Faraday under this Annex are exclusive of VAT and any other applicable indirect taxes, which will be added where required by law.

Faraday will apply VAT (or similar indirect taxes) to Faraday-issued fees where required by applicable law, based on Customer billing and tax information, as further described in the General Pricing Terms.

For clarity, this Annex addresses only pricing and billing of Faraday fees and does not address End User payment collection or tax treatment, which is the responsibility of the Customer or its designated payment service provider.

10. CUSTOMER-SPECIFIC OVERRIDES
Faraday may agree customer-specific commercial terms in an Order Form or Customer-Specific Addendum, including custom fee rates/components, modified or waived Monthly Minimums, volume tiers, pilot pricing, custom billing cycles, and payment-rail-specific terms. Any such terms override this Annex only to the extent expressly stated.

11. VERSIONING AND UPDATES
This Annex may be updated by Faraday in accordance with the General Pricing Terms, the Terms, and applicable law. Updated versions will identify an effective date and may be published on Faraday's website and/or in the Dashboard.
